Donation of Prescription Medications: Tax & Valuation Overview by Entity Type
When a pharmacy donates prescription medications to a qualified non-profit, both the entity structure and how the drugs are valued affect the tax treatment.
1. Partnership
-
Tax Treatment: Deduction passes through to partners based on ownership percentage.
-
Valuation: Typically limited to the cost basis of the drugs (what the pharmacy paid), rather than full fair market value.
-
Limits: Each partner applies their own individual charitable deduction limits.
-
Note: Certain enhanced deductions for inventory are generally not fully available at the partner level.
2. LLC (Default Pass-Through)
-
Tax Treatment: Same as a partnership (unless taxed as a corporation).
-
Valuation: Usually limited to cost basis when passed through to members.
-
Flexibility: If the LLC elects to be taxed as a C Corp, it may qualify for enhanced inventory deduction rules (see below).
-
Liability: Members retain limited liability protection.
3. C Corporation
-
Tax Treatment: Deduction is taken at the corporate level.
-
Valuation: May qualify for an enhanced charitable deduction for donated inventory (IRC §170(e)(3)), generally equal to:
-
Cost basis + up to 50% of unrealized gain,
-
Not to exceed 2× cost basis.
-
-
Benefit: This often allows a deduction closer to fair market value for qualified drug donations (if requirements are met—e.g., donated to care for the ill/needy and no resale use).
-
Limits: Subject to corporate charitable contribution caps (typically a % of taxable income).
4. S Corporation
-
Tax Treatment: Deduction passes through to shareholders.
-
Valuation: Generally limited to each shareholder’s share of basis in the donated inventory.
-
Enhanced Deduction: S Corps may calculate an enhanced deduction at the entity level, but limitations at the shareholder level often reduce the benefit.
-
Limits: Shareholders apply individual deduction limits.
Key Valuation Takeaways
-
Cost Basis (most common for pass-through owners): What the pharmacy paid for the medication.
-
Fair Market Value (FMV): Typically not fully deductible for inventory unless special rules apply.
-
Enhanced Deduction (primarily C Corps): Potentially allows a deduction greater than cost but capped, making C Corps often the most advantageous structure for inventory donations.
Important Disclaimer
This summary is for general informational purposes only. The tax treatment of donated prescription medications—including valuation, eligibility for enhanced deductions, and applicable limitations—can vary significantly based on specific facts and current IRS regulations. You should consult a qualified tax advisor or CPA to evaluate your particular situation before making any donation decisions.
Patient's Medications
At this time, we can not accept medications that have left the control of the pharmacy, wholesaler, or manufacturer. As we expand services, we will continuously re-evaluate that position.
